Zettlab Memo Terms of Service

These Terms apply to users outside Chinese Mainland who use the Zettlab Memo App, Zettlab Memo / Zettlab Memo Pro devices, Web/Electron clients, cloud services, IoT services, remote access, AI features, Skill/template marketplace and connectors, collectively referred to as “Zettlab Memo”, which is developed and run by ZETTLAB TECHNOLOGY LIMITED ( “Zettlab” or “WE”) and its affiliates. If you are located in Chinese Mainland, the Chinese Mainland version applies.
Prior to registering for, logging into, binding devices to, or using Zettlab Memo, you shall carefully read and fully understand this Agreement. In addition to this Agreement, you shall also read and comply with other relevant documents issued by us that take effect upon reasonable notice to you or upon obtaining your consent in accordance with applicable laws in connection with Zettlab Memo, including without limitation the Zettlab Memo Privacy Policy (Non-Chinese Mainland Version), Zettlab Memo IoT Device Privacy Statement (Non-Chinese Mainland Version), Zettlab Memo AI Function Declaration (Non-Chinese Mainland Version), as well as the service rules, announcements and special instructions issued by us. These Terms and the aforesaid documents together with this Terms constitute the entire agreement between you and Zettlab, and shall have the same legal effect. If you decideto accessand continue usingZettlab Memo, you agree to accept and be bound by these Termsand the aforesaid documents.

Important Notice
1. Zettlab Memo is a combined product consisting of local devices, App/Web/Electron clients, and cloud-based account, relay, OTA and AI services. The files, information and data you process are normally stored on your local device. However, when you enable cloud AI, remote access, sharing, diagnostics, Skill release/review or third-party connectors, relevant data and information may be transmitted outward from your local device, and may be subject to external processing, storage or usage.
2. You must have lawful rights or authorization for the devices, networks, files, workspaces, third-party accounts and content you bind, upload or process.
3. You have all lawful rights and shall be responsible for all the inputs and service instructions you submitted to Zettlab Memo.
4. AI output does not constitute Zettlab’s opinion. Such output may be inaccurate, incomplete or unsuitable. Do not rely on it without independently confirming its accuracy. In no case such output shall be construed as professional advice or basis for decisions.
5. Account closure, device unbinding or authorization revocation does not delete local device data. Before transfer, repair, return or disposal, erase local files, accounts, Wi-Fi, tokens, API keys, AI chats and cache.
1. Services
Zettlab Memo is a smart device and private storage product equipped with an AI Assistant, intended for household, personal or internal organizational use. The specific functions and scope of availability shall be subject to the device model, firmware version, client version and service area you have purchased or activated. Subject to your selection and authorization, the AI Assistant may access local device data or functions via AI dialogue and perform local or cloud-based operations. We provide the following services in accordance with your selection and authorization:
1. account registration, login, third-party sign-in, device binding and device management;
2. device provisioning, LAN access, remote access, P2P, cloud relay, MQTT/WebSocket status sync and device control;
3. NAS file management, media preview, thumbnails, search, tags, favorites, rating, recycle bin, sync, upload and download;
4. AI chat, model selection, image/file processing, tool calls, Agent configuration, Memory, Skill, scheduled tasks, chat history and free credits;
5. Skill/template marketplace, publishing, review, installation and authorization;
6. firmware updates, diagnostics, system status, network/storage information, logs, OTA and security updates;
7. third-party connectors and automation, such as Feishu, Slack, GitHub, Notion, Gmail and MCP services, where available.
Specific features depend on product pages, firmware, app/web/desktop versions, service region and availability.
2. Account and Devices
You must provide accurate and complete information and protect your account, password, verification code, tokens, device binding, local credentials, API keys and third-party authorizations. You are responsible for risks caused by your disclosure, sharing or transfer of access credentials, except where applicable law provides otherwise.
Devices may support owners, shared users, family members, collaborators or third-party control. You must ensure that you have lawful rights to the devices, networks, files, home/work environment and third-party accounts, and grant reasonable permissions to shared users, guests, repair personnel or collaborators.
If we detect abnormal login, misuse, attacks, restriction bypass, legal violations or breach of these Terms, we may issue risk prompts, require additional verification, limit features, suspend services, unbind devices, freeze accounts, terminate services, preserve evidence or report to authorities where required.
3. Software License
Subject to your compliance with these Terms, we grant you a revocable, non-exclusive, non-transferable, non-sublicensable license to install, run and use the Zettlab Memo App, Web/Electron client and device software on devices you lawfully own or control, for personal, household, or internal business/organizational use, in conjunction with Zettlab Memo / Zettlab Memo Pro products.
Except as permitted by law or open-source licenses, you must not copy, modify, distribute, rent, sell, sublicense, reverse engineer, decompile, bypass technical protection, scrape at scale, stress test, attack APIs, build competing services or otherwise use the software or services beyond the license.
Some components may include open-source software. Open-source components are governed by their own licenses. If an open-source license conflicts with these Terms for that component, the open-source license controls for that component.
4. Acceptable Use and Precautions
4.1 You must not use the services to:
1. access, control, scan or attack another person's device, account, network, data or third-party service without authorization;
2. upload, generate or distribute illegal, harmful, infringing, false, abusive, discriminatory, fraudulent, privacy-invasive or otherwise harmful content;
3. bypass credits, payments, authentication, access controls, model limits, safety policies, review mechanisms or regional restrictions;
4. abuse APIs, create accounts in bulk, interfere with P2P, cloud relay, MQTT or OTA services;
5. upload malware, backdoors, viruses, trojans, miners, exploit tools or malicious Skills/MCP services;
6. use AI output as the sole basis for medical, legal, financial, investment, safety, public or other high-risk decisions;
7. process other people's photos, videos, files, chats, work materials, customer data or personal information without lawful authority.
If you violate these Terms or applicable law, we may limit features, suspend services, remove content, unbind devices, freeze or terminate accounts, preserve evidence or report to authorities where required.
4.2 Registration and Required Information
During your account registration or use of the Zettlab Memoservice, you are required to provide information necessary for registration, login and security protection, such as your email address and verification code. If we collect additional information including other contact methods subsequently, we will notify you separately and obtain necessary authorization in accordance with applicable laws. Should the information you provide be incomplete, untrue, non-standard or unlawful, you may not be able to use the corresponding services normally.
4.3 Network, Model and Data Traffic Fees
To provide you with effective services, Zettlab Memo may invoke large models or cloud data via network services in accordance with your authorization and custom configurations. The use of this Service may incur data traffic charges, model invocation consumption fees, third-party service fees, or fees arising from your self-provided API Key. You shall independently inquire about the tariff information from the relevant service providers and bear all corresponding expenses. The free quota and paid service rules offered by us shall be subject to the display on the product page.
4.4 AI Assistant Access to Local Devices and Third-Party Services
You may operate local devices or third-party services through the built-in AI Assistant function of Zettlab Memo. We hereby clarify as follows:
4.4.1 Local Device and System Operations
All operations on local device files and systems performed via Zettlab Memo are executed based on your inputs, selections, authorizations and confirmations. Zettlab Memo only provides invocation capabilities and relevant technical assistance. Before performing any irreversible operations including deletion, overwriting, configuration modification, command execution, and installation of Skill/MCP services, you shall carefully verify the scope of operation, complete data backup, and assess relevant security risks and consequences.
4.4.2 All operations performed on third-party software or services via Zettlab Memo are executed based on your input, selection, authorization and confirmation. The functions of target services are provided to you by the respective third-party service providers and shall be subject to the applicable third-party service agreements and rules. Before authorizing connectors, API Keys, OAuth accounts or MCP services, you shall carefully read and comply with the relevant third-party rules.
4.4.3 Zettlab Memo may invoke local models, our cloud model services, user-provided API Keys, or user-customized models in accordance with your authorization and selection.
If you use our cloud model services, your relevant inputs, attachments, context content, model parameters and necessary request metadata may be forwarded through our servers to the model service provider you select.
If you use a self-provided API Key or customized model, the relevant data shall be processed by your selected service provider in accordance with its own rules.
We will notify you on product pages or in feature popups of the service provider, data categories, processing purposes, possible cross-border data transmission (specific cross-border data transfer arrangements shall depend on the actual data flows, the regions of the relevant service providers, and the applicable authorization notices or consent pop-ups) and associated risks, and obtain necessary authorization as required by applicable laws.
5. User Content and Data Responsibility
You retain rights you lawfully hold in content you upload, store, input, generate, share or publish. You grant us a non-exclusive, purpose-limited license to transmit, cache, display, process, create thumbnails, execute AI requests, publish Skills/templates, troubleshoot, audit security and perform other processing necessary to provide, maintain, protect and improve the services. When you use AI features, we will collect, transmit, process, and store your AI conversation content and usage records solely for the following purposes:(i) Service operation purposes: responding to your current request, maintaining conversation context, detecting security risks, and fulfilling legal obligations;(ii) AI improvement purposes with your separate authorization: using your conversation data to optimize and improve AI features. You may enable or disable this authorization at any time.You may delete the above data or clear the cache within the scope of product-supported functions.
You are responsible for backing up important files. Local devices, disks, networks, third-party models, connectors, user error, malware or force majeure may cause loss or damage. Except where applicable law requires or we expressly promise otherwise, we are not responsible for losses caused by missing backups, accidental deletion, formatting, improper sharing or third-party services.
Feedback, suggestions, bug reports or improvement ideas you provide may be used by us for product improvement, bug fixes and service optimization without additional payment or attribution, subject to privacy rules.
6. AI Features and Credits
Zettlab Memo may provide local models, cloud models, user-provided API keys, Agents, Skills, tool calls and free AI credits. Free credits may expire, may not stack, and may be changed, suspended, limited or withdrawn because of abuse prevention, operations, technology, model cost or service changes. In the event of any material adjustment to allocated but unused quotas, we shall provide prior or concurrent notice within a reasonable scope, except where immediate handling is necessitated due to violations of laws and regulations, abuse, risk control measures, regulatory requirements, or emergency adjustments by suppliers. The specific quota amount, validity period and applicable rules shall be subject to the display on the product page.
We may offer models such as local models, DeepSeek, Zhipu GLM, OpenAI API, Anthropic, Google AI or future models (the specific available models shall be subject to the models actually deployed and integrated in the latest version of Zettlab Memo). When you use cloud AI, prompts, context, images, files and model parameters may be sent to theselected provider, which may involve data transmission to overseas servers. You should be fully aware of andconsent to such necessary cross-border data transfers. The actually available models shall be subject to the display on the product page and the official access configuration. Any unenabled models will not process your data. Do not send sensitive personal information, business secrets, unreleased materials or third-party information you have no right to process to third-party AI models.
AI output may be inaccurate, incomplete, outdated, fabricated, biased or unsuitable. You must independently verify it and must not use it as the sole basis for professional advice or significant decisions.

7. Third-Party Services and Connectors
You may encounter or choose third-party models, cloud services, P2P services, identity services, object storage, connectors, messaging platforms, MCP services, payments, logistics, support, links or other services. Third-party services are governed by their own terms and privacy policies. Except where applicable law provides otherwise, we do not provide additional guarantees for third-party content, availability, data practices or service quality.
Before authorizing connectors, installing third-party Skills, configuring MCP services or entering third-party API keys, confirm that the source is trustworthy and permissions are reasonable. Third parties may access, process or retain files, messages, tool results or account data.
When you authorize a connector or configure a custom API/MCP connection, you confirm that you have lawful rights to connect the relevant account, endpoint, files, messages and data, and that your use complies with the third-party provider’s terms, API rules, rate limits and privacy requirements.
You understand that Zettlab may store and use connector credentials necessary to maintain the connection, including OAuth tokens or API credentials, and may transmit necessary requests, tool inputs, messages, files, tool results and metadata to the selected third-party provider or custom endpoint to complete actions you request or enable through an Agent/Skill. You may revoke or delete connectors in the product where supported; data already processed by the third-party provider is governed by that provider’s terms and privacy policy.
8. Skill/Template Marketplace
If you publish, upload, install or use Skills/templates, you must ensure they are lawful, non-malicious, non-infringing and do not contain unlawful or high-risk functionality. We may conduct automated review, AI review, human review, security scanning, takedown, distribution limits or deletion.
We do not guarantee that third-party Skills/templates are fully secure, accurate, continuously available or suitable for your purpose. Review permissions, source and behavior before installing or running them. Risks caused by third-party Skills/templates are borne by the provider and user as required by law.
9. Fees, Paid Services and After-Sales
Paid software services, subscriptions, top-ups and refund rules are not yet launched. If paid features, membership, premium services or credit purchases are introduced, product pages will show service scope, price, billing cycle, cancellation, refund and invoice/tax rules before purchase.
Hardware sales, logistics, repair, returns, warranty and after-sales services are governed by purchase pages, warranty policies, invoices, orders and support pages. Before repair, return, transfer or disposal, back up and erase local files, accounts, Wi-Fi, tokens, API keys, logs, AI chats and third-party authorizations.
10. Firmware and Security Updates
We may push software, firmware or configuration updates to provide new features, fix issues, improve performance, patch vulnerabilities or meet security and compliance requirements. You may manage some update settings where supported. If not updating would create significant risks to device security, data security, personal safety or property safety, we may perform necessary mandatory security updates.
11. Notices
We may send service, terms, privacy, security and feature-change notices through App pop-ups, in-product messages, push notifications, email, website announcements, system messages or contact details in your account. Notices sent to your last provided contact or displayed in-product are deemed delivered within a reasonable time. Keep your contact details accurate and available.
12. Privacy
We process personal information and device data according to the Zettlab Memo Privacy Policy (Non-Chinese Mainland Version) and Zettlab Memo IoT Device Privacy Notice (Non-Chinese Mainland Version). AI features are also governed by the Zettlab Memo AI Feature Notice (Non-Chinese Mainland Version).
13. Service Changes, Suspension and Termination
We may change, interrupt or terminate services because of upgrades, maintenance, network failures, device compatibility, model-provider changes, regulatory requirements, security risks, business changes or force majeure. We will use reasonable efforts to notify you in advance, except for urgent security fixes, unlawful use, regulatory requirements or force majeure.
You may apply to close your account through the cancellation process. Upon account cancellation, we shall delete or anonymize your cloud service data and will no longer retain such data for ordinary business purposes, except as otherwise necessary for compliance with laws and regulations, regulatory requirements, security audits, dispute resolution, or the protection of legitimate rights and interests. Any data stored locally on your device shall be backed up, deleted, or restored to factory settings solely by you at your own discretion.
14. Disclaimers and Limitation of Liability
To the maximum extent permitted by applicable law, we are not responsible for:
1. Losses caused by your mishandling, misoperation, account/device sharing, third-party authorization or uploading unlawful/sensitive content;
2. Service issues caused by carriers, routers, LAN, firewalls, disk failure, third-party models, cloud services, P2P networks, app stores or operating systems;
3. Any losses incurred by you or any third party arising from errors, omissions, delays, hallucinations or unsuitability for specific purposes in AI output, including without limitation decision-making errors, property loss and reputational damage.
4. Data leakage, loss or service issues caused by third-party Skills/MCP services, connectors, user-provided API keys or custom models;
5. Interruptions caused by force majeure, cyberattacks, device failure, regulatory requirements or service interruption caused by necessary emergency measures taken to prevent safety incidents from escalating on a larger scale.
6.Any loss of profits, loss of data, loss of goodwill, business interruption, or any indirect, incidental or punitive damages arising from this Service, whether or not we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including mandatory consumer rights. Users shall bear full legal liability for any content you upload, publish or transmit via this Service.
15. Minors
This Service is available only to adults. Our Services are not directed towards, and we do not knowingly collect or process any information of any person under the age of 18.
If you are under the age of 18, especially if youare a Minor, you must obtain consent from your parent or legal guardian before using the Services. “Minor” means a user who is under 16 or the applicable age of digitalconsent in theuser's jurisdiction. Guardians of minors who intend to useZettlab Memo for purposes permitted under applicable laws in their jurisdiction should monitor risks relating to AI, remote access, file upload, network connection, device sharing and third-party connectors. We do not direct servicesto children. If we identify that an account is actually used by a minor under the age of 14 without verifiable consent from their guardian, we reserve the right to suspend or terminate such account and delete the relevant personalinformation.
16. Changes to Terms
We may update these Terms because of legal, business, technical or service changes. Material changes will be notified through App, website, pop-up, in-product notice, email or other reasonable means. Where consent or separate consent is required under applicable laws, we shall obtain your consent accordingly. The updated Agreement shall take effect on the notified effective date. If you do not agree thereto, you may discontinue use of the Service and apply for account cancellation.
17. Governing Law and Disputes
These Terms are governed by the laws of Hong Kong SAR, without excluding mandatory consumer protection or data protection laws of your place of residence. Disputes should first be resolved through friendly negotiation. If negotiation fails, disputes will be submitted to courts with jurisdiction in Hong Kong, unless mandatory law provides another forum.
18. Miscellaneous
If any provision is invalid or unenforceable, the remaining provisions remain effective. Headings are for convenience only. Failure or delay in exercising rights does not waive them. You may not transfer your rights or obligations without our written consent.
